Shares fell 19% that day.</p><p>A few weeks later, on Sept. 17, the Nasdaq sent a letter to Super Micro, saying the company wasn't in compliance with a listing rule that requires timely filing of reports with the Securities and Exchange Commission. Super Micro was given 60 days to file the delayed report, or to submit a plan for Nasdaq's approval detailing how it would regain compliance to remain listed on the exchange.</p><h2 id=\"id_1684571821\">The Stock Splits and Auditor Resigns</h2><p>The stock split on Oct. 1, shortly before the company said on Oct. 7 that it deployed liquid-cooled servers using more than 100,000 graphics processing units for some of the largest AI factories ever built. While that lifted shares by 16%, the gain didn't last.</p><p>On Oct. 30, Super Micro disclosed that the accounting firm Ernst & Young, its auditor, had resigned. "We are resigning due to information that has recently come to our attention which has led us to no longer be able to rely on management's and the Audit Committee's representations and to be unwilling to be associated with the financial statements prepared by management," EY said.</p><p>That raised even more concern among investors, who weren't sure whether the company would hit the deadline to remain listed. This is a look at how the server maker found itself in this position.Super Micro Shares Surged 18% in after hours trading.Less than a year ago, things were going gangbusters for the maker of the computer servers used for artificial intelligence. The stock reached its 2024 closing high on March 13, when it was up 318% for the year.Analysts were confident there was more room for growth. J.P. Morgan analysts began coverage of the stock with an Overweight rating in March, calling Super Micro the leading company in the AI computing market.How the mighty have fallen. Shares are now off 37% this year, for a gap between the high and the current price of 355 percentage points, by far the widest for any company in the S&P 500, according to Dow Jones Market Data. In second place is Moderna, which was up 68% at its 2024 peak but is now down 63%, a spread of about 130 percentage points.Behind the reversal are a combination of concerns regarding profit margins, a short-seller report, delayed financial filings, and the loss of an auditor. It remains unclear whether the company can continue to trade on the Nasdaq Stock Market.Margins and Short SalesMatters took a decisive turn for the worse on Aug. 6, when Super Micro reported that its fourth-quarter adjusted gross profit margin came in at 11.3%, versus 17.1% the prior year. However, the stock price suggests that concerns about SMCI's accounting inaccuracy overshadow robust business expansion.</p><p>I am not happy that the stock plunged by 63% since my August bullish call, as I have skin in the game. I have been buying aggressively since the stock started tanking in late August, meaning that I have a substantial SMCI position. I also worry about the recent auditor resignation and there is a lot of uncertainty in the FY2024 10-K report release timing. Yet, the stock is so cheap that it provides an excellent opportunity to double down. The preliminary earnings for the latest quarter were released a week ago. It is very hard to imagine that the management would risk presenting an unfair view of SMCI's financial performance, given the panic around the stock and the reported DOJ investigation.</p><p>The deeply low 14-day RSI reading shows how very spooked the market is over SMCI. This makes me greedy. I tend to believe that allegations of accounting manipulations are exaggerated. Therefore, I still consider SMCI a 'Strong Buy'.</p><h2 id=\"id_3077953962\">Fundamental analysis</h2><p>SMCI has recently encountered several significant reputational challenges. This began with a late-August opinions from some analysts that questioned the trustworthiness of SMCI's financial statements and the management's integrity. The company then failed to file its 10-K report on time, and there are reports of a DOJ investigation regarding allegations around accounting manipulations. As a result of all these adverse events, the stock price decreased by more than 60% since late August.</p><p>The company has recently released its FQ1 2025 preliminary results and FQ2 2025 guidance, with robust revenue and EPS growth. I tend to trust in the accuracy of this release, despite the aforementioned allegations. There are two big reasons for such confidence.</p><p>The first is that it is hard to imagine that a company under public pressure and scrutiny would manipulate its financials. Second, no major semiconductor companies have separated from SMCI and continue to call SMCI their partner. It has been rumored that Nvidia is taking orders away from SMCI, but I tend to go with what the companies say on their website.</p><p>On October 15, Nvidia announced a new partnership with SMCI. The expanded collaboration highlights the integration of Nvidia's BlueField data processing unit ('DPU') into SMCI's storage solutions. This factor highlights Nvidia's confidence in SMCI's trustworthiness. Furthermore, a presentation endorsing SMCI is still available on AMD's official website. I might be missing something, but Nvidia and AMD appear to be companies with flawless reputations. Thus, it is highly unlikely that Jensen Huang or Lisa Su would risk their reputations by supporting collaboration with a company with questionable integrity or operational practices. There is also a separate page on Intel's website dedicated to endorse SMCI's offerings.</p><p></p><p class=\"t-img-caption\"><img src=\"https://community-static.tradeup.com/news/e915ca85bac0b07cb94d9f717e09bebb\" alt=\"SA\" title=\"SA\" tg-width=\"617\" tg-height=\"311\"/><span>SA</span></p><p></p><p>Therefore, I consider the preliminary earnings announcement as trustworthy. According to preliminary results, revenue for FQ1 ranged from $5.9 billion to $6 billion, representing an 181% year-over-year increase. The growth was primarily driven by strong demand for AI GPU platforms. SMCI's non-GAAP gross margin has improved quarter-over-quarter from 11.3% to 13.3%. The profitability expansion was powered by favorable shifts in the product and customer mix.</p><p>The FQ2 guidance also looks robust, with the projected range from $5.5 billion to $6.1 billion. The $5.8 billion midpoint level is 58% higher compared to the same quarter of FY2024. The guidance fell short of Wall Street expectations, but this looks explainable, as the management cites low Blackwell GPU availability due to high demand. So, the problem looks temporary.</p><p>Secular trends are still strong as cloud giants look unwilling to cool down their data center spending spree. Amazon plans to invest another billion+ in Italian data centers and has recently bought 350 acres for data center in Becker. Google's plans to invest much more in data centers over the long term are apparent after the company announced that it is buying nuclear reactors to meet the energy demand of its current and future data centers. Microsoft also recognizes the potential for data center expansion and is already incorporating sustainable solutions to minimize its environmental footprint. Thus, the industry is thriving and evolving rapidly, providing a strong tailwind for SMCI.</p><p></p><p class=\"t-img-caption\"><img src=\"https://community-static.tradeup.com/news/c88485771692e0f540617907c77cd416\" alt=\"\" title=\"\" tg-width=\"635\" tg-height=\"424\"/></p><p></p><p>The stock is significantly oversold, with its 14-day RSI indicator at a historically low level of 27. While the market seems extremely fearful about SMCI, I prefer to set emotions aside. The world's largest semiconductor companies, which undoubtedly value their reputations, continue to work closely with SMCI, suggesting that the allegations are likely overestimated. Furthermore, the company is already under significant public pressure and scrutiny, making accounting manipulations around the latest preliminary quarterly earnings release extremely unlikely.</p><h2 id=\"id_1000083254\">Valuation analysis</h2><p>As I mentioned, the stock is now significantly cheaper than it was in late August, and such a plunge is explained by fears of the market regarding accounting manipulation allegations. However, since I outlined why I believe that these fears are highly likely exaggerated, I plan to rely on long-term consensus revenue projections to build my DCF model. The zero FCF margin for the base year reflects the company's aggressive CapEx spending to address soaring demand. For the years after FY2025, I reiterate the same trajectory of the metric expanding by 200 basis points yearly. To balance out an aggressive FCF margin assumption, I use a very conservative 2% constant growth rate to calculate terminal value ('TV'). Thus, fears around the stock made it extremely cheap.</p><p>The fair value estimation approaches the current share price only if unrealistically pessimistic assumptions are incorporated. In my opinion, the management could have handled the situation in a smoother way. As a result, it seems that the stock crash would not have been as bad. There is still no indication of when the company’s FY2024 10-K report will be published, which creates room for possible new bad-looking headlines. This might just set off another bearish market wave if the communication approach between the management and investors remains the same.</p><p>Additionally, the past precedent of delisting in 2019 due to accounting issues remains a concern. According to the official information from SMCI, the management is still unable to share the expected date of the 10-K filing, which increases risks of failing to comply with Nasdaq listing rules. However, I believe that the company's efforts to engage a new auditor will mitigate the risk. The completion of the Special Committee's investigation, which found no evidence of fraud or misconduct, is a positive step towards resolving this adverse situation.</p><h2 id=\"id_3728447271\">Conclusion</h2><p>As an investor, I prefer to set emotions aside and focus on the facts. A company that has faces intense public scrutiny is almost certainly not going to play along with its accounting books. However, the stock price suggests that concerns about SMCI's accounting inaccuracy overshadow robust business expansion.I am not happy that the stock plunged by 63% since my August bullish call, as I have skin in the game. I have been buying aggressively since the stock started tanking in late August, meaning that I have a substantial SMCI position. I also worry about the recent auditor resignation and there is a lot of uncertainty in the FY2024 10-K report release timing. Yet, the stock is so cheap that it provides an excellent opportunity to double down. The preliminary earnings for the latest quarter were released a week ago. It is very hard to imagine that the management would risk presenting an unfair view of SMCI's financial performance, given the panic around the stock and the reported DOJ investigation.The deeply low 14-day RSI reading shows how very spooked the market is over SMCI. This makes me greedy. I tend to believe that allegations of accounting manipulations are exaggerated. Therefore, I still consider SMCI a 'Strong Buy'.Fundamental analysisSMCI has recently encountered several significant reputational challenges. This began with a late-August opinions from some analysts that questioned the trustworthiness of SMCI's financial statements and the management's integrity. The company then failed to file its 10-K report on time, and there are reports of a DOJ investigation regarding allegations around accounting manipulations. As a result of all these adverse events, the stock price decreased by more than 60% since late August.The company has recently released its FQ1 2025 preliminary results and FQ2 2025 guidance, with robust revenue and EPS growth. I tend to trust in the accuracy of this release, despite the aforementioned allegations. There are two big reasons for such confidence.The first is that it is hard to imagine that a company under public pressure and scrutiny would manipulate its financials. Second, no major semiconductor companies have separated from SMCI and continue to call SMCI their partner. It has been rumored that Nvidia is taking orders away from SMCI, but I tend to go with what the companies say on their website.On October 15, Nvidia announced a new partnership with SMCI. The expanded collaboration highlights the integration of Nvidia's BlueField data processing unit ('DPU') into SMCI's storage solutions. This factor highlights Nvidia's confidence in SMCI's trustworthiness. Furthermore, a presentation endorsing SMCI is still available on AMD's official website. I might be missing something, but Nvidia and AMD appear to be companies with flawless reputations. Thus, it is highly unlikely that Jensen Huang or Lisa Su would risk their reputations by supporting collaboration with a company with questionable integrity or operational practices. There is also a separate page on Intel's website dedicated to endorse SMCI's offerings.SATherefore, I consider the preliminary earnings announcement as trustworthy. According to preliminary results, revenue for FQ1 ranged from $5.9 billion to $6 billion, representing an 181% year-over-year increase. The growth was primarily driven by strong demand for AI GPU platforms. SMCI's non-GAAP gross margin has improved quarter-over-quarter from 11.3% to 13.3%. The profitability expansion was powered by favorable shifts in the product and customer mix.The FQ2 guidance also looks robust, with the projected range from $5.5 billion to $6.1 billion. The $5.8 billion midpoint level is 58% higher compared to the same quarter of FY2024. The guidance fell short of Wall Street expectations, but this looks explainable, as the management cites low Blackwell GPU availability due to high demand. So, the problem looks temporary.Secular trends are still strong as cloud giants look unwilling to cool down their data center spending spree. Amazon plans to invest another billion+ in Italian data centers and has recently bought 350 acres for data center in Becker. Google's plans to invest much more in data centers over the long term are apparent after the company announced that it is buying nuclear reactors to meet the energy demand of its current and future data centers. Microsoft also recognizes the potential for data center expansion and is already incorporating sustainable solutions to minimize its environmental footprint. Thus, the industry is thriving and evolving rapidly, providing a strong tailwind for SMCI.The stock is significantly oversold, with its 14-day RSI indicator at a historically low level of 27. While the market seems extremely fearful about SMCI, I prefer to set emotions aside. The world's largest semiconductor companies, which undoubtedly value their reputations, continue to work closely with SMCI, suggesting that the allegations are likely overestimated. Furthermore, the company is already under significant public pressure and scrutiny, making accounting manipulations around the latest preliminary quarterly earnings release extremely unlikely.Valuation analysisAs I mentioned, the stock is now significantly cheaper than it was in late August, and such a plunge is explained by fears of the market regarding accounting manipulation allegations. However, since I outlined why I believe that these fears are highly likely exaggerated, I plan to rely on long-term consensus revenue projections to build my DCF model. The zero FCF margin for the base year reflects the company's aggressive CapEx spending to address soaring demand. For the years after FY2025, I reiterate the same trajectory of the metric expanding by 200 basis points yearly. To balance out an aggressive FCF margin assumption, I use a very conservative 2% constant growth rate to calculate terminal value ('TV'). I use an 8% WACC to discount future cash flows.Calculated by the authorThe first simulation indicates a fair share price of approximately $90, which is almost four times higher compared to the current share price. Thus, fears around the stock made it extremely cheap.The fair value estimation approaches the current share price only if unrealistically pessimistic assumptions are incorporated. The fair share price is around $23 when I apply a 1% constant growth rate and a very low 3% revenue CAGR for the next five years, with the FCF margin expanding by only 100 basis points annually.Calculated by the authorWith that said, I believe SMCI is very attractively valued. My target price is $90 per share, which is close to mid-summer 2024 levels, making such upside potential realistic.Mitigating factorsOfficial communication is crucial in emergency cases threatening the image of a business, such as those experienced by SMCI over the last few months. In my opinion, the management could have handled the situation in a smoother way. As a result, it seems that the stock crash would not have been as bad. There is still no indication of when the company’s FY2024 10-K report will be published, which creates room for possible new bad-looking headlines. This might just set off another bearish market wave if the communication approach between the management and investors remains the same.Additionally, the past precedent of delisting in 2019 due to accounting issues remains a concern. According to the official information from SMCI, the management is still unable to share the expected date of the 10-K filing, which increases risks of failing to comply with Nasdaq listing rules. However, I believe that the company's efforts to engage a new auditor will mitigate the risk. The completion of the Special Committee's investigation, which found no evidence of fraud or misconduct, is a positive step towards resolving this adverse situation.ConclusionAs an investor, I prefer to set emotions aside and focus on the facts. A company that has faces intense public scrutiny is almost certainly not going to play along with its accounting books. This factor makes the recent preliminary FQ1 2025 earnings release is a reliable informational tool. (NASDAQ:TSLA) (NEOE:TSLA:CA) revealed its new Cybercab at its We, Robot event. The company also unveiled a Cybervan and an updated Optimus robot.</p><p>The timeline for FSD and these innovations is the same as always; sometime next year.</p><p>Elon Musk cannot be faulted for his enthusiasm and perseverance, but investors are growing impatient.</p><p>While Tesla works on its new AI initiatives, it must battle to maintain market share in an increasingly competitive EV market.</p><p>The clock is ticking.</p><p>I outlined in my last article that Tesla’s lead in FSD was tenuous, though I had hoped it could leverage its superior technology. However, this event has not reassured me at all.</p><p>I am giving Tesla one more year to produce something tangible, or I will be out of the stock. I am downgrading to a neutral rating, as I believe the odds of success for Tesla diminish every passing day.</p><h2 id=\"id_2598631574\">Robotaxi Event</h2><p>Tesla’s much anticipated Robotaxi day has come and gone, and here’s what we learned from the event.</p><p>Musk unveiled a $30,000 Cybercab, projected to hit the market before 2027. On top of that, Musk unveiled the Robovan, a similar concept but with seating for up to 20 people.</p><p>According to Musk, self-driving technology will be 10-20x safer than human driving and could cost as little as $0.20 per mile, making it even cheaper than buses.</p><blockquote><p>“I think the cost of autonomous transport will be so low that you can think of it like individualised mass transit,”</p></blockquote><p>Source: Elon Musk</p><p>Finally, we got to see a lineup of Optimus robots perform a choreographed dance, with Musk reiterating that this was perhaps the largest market opportunity for Tesla. He also mentioned the humanoid robot would be available for under $30,000 at scale.</p><p>That pretty much concluded the 30-minute presentation.</p><h2 id=\"id_4111080587\">My 2 cents</h2><p>When all is said and done, I found the robotaxi event was underwhelming, and looking at the pre-market action right now, I don’t seem to be the only one.</p><p>While we got to see the vision, there was no “verifiable evidence” as Jeffries analysts put it, that any of these timelines presented were achievable, or that Tesla’s FSD had made any meaningful progress in the last few months.</p><p>Musk has repeatedly overestimated his company's ability to deliver products. It’s the kind of optimism and belief that is essential to any successful entrepreneurial venture, but perhaps not appropriate when dealing with a board of directors and public investors.</p><p>And even if Tesla can pull it off, it may take years for government agencies to approve completely self-driving cars, especially given that Tesla’s technology relies on AI and cameras, rather than Lidar.</p><p>But let’s get back to our previous question.</p><h2 id=\"id_3612930416\">Can Tesla Pull It Off?</h2><p>I’m not going to argue that driverless technology will be revolutionary. No doubt, there will be resistance to it, but we are talking about saving countless hours of labour, not to mention lives.</p><p>The ride-hailing market alone will potentially be huge, as shown by Ark research:</p><p></p><p class=\"t-img-caption\"><img src=\"https://community-static.tradeup.com/news/972dfaaccc3637f15d1cbddf492b01ed\" tg-width=\"1280\" tg-height=\"536\"/></p><p>Ride-hail TAM (Ark)</p><p></p><p>And though I have been harsh on Tesla so far, we can’t deny it does have some advantages over its competitors.</p><p>For starters, FSD has driven way more miles than any of its competitors, although FSD does require a driver to still be at the wheel. I do believe the technology is there. Otherwise, what was the point of buying all those NVIDIA (NVDA) chips?</p><p>The other thing Tesla does have going for it is its vertically integrated supply chain. Tesla has the production capacity to quickly scale this service, not to mention its spare inventory and the many Teslas in existence that could be added to a fleet of robotaxis.</p><p>But Musk is his own worst enemy. Investors would be able to forgive Tesla for not reaching full autonomy if Musk hadn't always been so optimistic with his timelines. In my opinion, this is now working against the company, and explains, at least in part, why the stock sold off after the event.</p><h2 id=\"id_962604086\">The Clock Is Ticking</h2><p>The problem with trying to rebrand Tesla as an AI business is that it still takes in 82% of its revenues from EV sales. But Tesla’s lead in this department is quickly shrinking.</p><p></p><p class=\"t-img-caption\"><img src=\"https://community-static.tradeup.com/news/837f7ba897746a69019b26c06feee8d1\" tg-width=\"1280\" tg-height=\"793\"/></p><p>Share of US electric vehicles (Cox Automotive)</p><p></p><p>The company’s share has fallen below 50% and things may get worse. While the Cybertruck seems to be selling well, production is still limited. Furthermore, the lack of any talk in the recent event of the Model 2, just reinforces this idea.</p><p>Tesla still has a strong presence in the US market, but it is not growing like before, and it hasn't put as much effort as its competitors to gain market share, since it is not bringing out many new models.</p><p>This adds extra pressure on Tesla to deliver something new.</p><p></p><p class=\"t-img-caption\"><img src=\"https://community-static.tradeup.com/news/c6bec6abf5aead1d8a758951e6ed9630\" tg-width=\"640\" tg-height=\"266\"/></p><p>Tesla Operating Margin (Companiesmarketcap.com)</p><p></p><p>Meanwhile, although Tesla does have a positive operating margin, it is still quite narrow, and there's a risk that all the investment in AI technology could drive margins back into negative territory. Tesla still has enough cash to keep things going for a while, but investors will need to see some payoff to all these investments sooner, rather than later.</p><h2 id=\"id_2625833188\">Final Thoughts</h2><p>All in all, the presentation was underwhelming, and it’s not enough for Musk to say stuff or show us prototypes anymore. We need to see an actual product hit the market, and the latest deadlines have to be met. (NASDAQ:TSLA) (NEOE:TSLA:CA) revealed its new Cybercab at its We, Robot event. The company also unveiled a Cybervan and an updated Optimus robot.The timeline for FSD and these innovations is the same as always; sometime next year.Elon Musk cannot be faulted for his enthusiasm and perseverance, but investors are growing impatient.While Tesla works on its new AI initiatives, it must battle to maintain market share in an increasingly competitive EV market.The clock is ticking.I outlined in my last article that Tesla’s lead in FSD was tenuous, though I had hoped it could leverage its superior technology. However, this event has not reassured me at all.I am giving Tesla one more year to produce something tangible, or I will be out of the stock. I am downgrading to a neutral rating, as I believe the odds of success for Tesla diminish every passing day.Robotaxi EventTesla’s much anticipated Robotaxi day has come and gone, and here’s what we learned from the event.Musk unveiled a $30,000 Cybercab, projected to hit the market before 2027. On top of that, Musk unveiled the Robovan, a similar concept but with seating for up to 20 people.According to Musk, self-driving technology will be 10-20x safer than human driving and could cost as little as $0.20 per mile, making it even cheaper than buses.“I think the cost of autonomous transport will be so low that you can think of it like individualised mass transit,”Source: Elon MuskFinally, we got to see a lineup of Optimus robots perform a choreographed dance, with Musk reiterating that this was perhaps the largest market opportunity for Tesla. He also mentioned the humanoid robot would be available for under $30,000 at scale.That pretty much concluded the 30-minute presentation.My 2 centsWhen all is said and done, I found the robotaxi event was underwhelming, and looking at the pre-market action right now, I don’t seem to be the only one.While we got to see the vision, there was no “verifiable evidence” as Jeffries analysts put it, that any of these timelines presented were achievable, or that Tesla’s FSD had made any meaningful progress in the last few months.Musk has repeatedly overestimated his company's ability to deliver products. It’s the kind of optimism and belief that is essential to any successful entrepreneurial venture, but perhaps not appropriate when dealing with a board of directors and public investors.And even if Tesla can pull it off, it may take years for government agencies to approve completely self-driving cars, especially given that Tesla’s technology relies on AI and cameras, rather than Lidar.But let’s get back to our previous question.Can Tesla Pull It Off?I’m not going to argue that driverless technology will be revolutionary. No doubt, there will be resistance to it, but we are talking about saving countless hours of labour, not to mention lives.The ride-hailing market alone will potentially be huge, as shown by Ark research:Ride-hail TAM (Ark)And though I have been harsh on Tesla so far, we can’t deny it does have some advantages over its competitors.For starters, FSD has driven way more miles than any of its competitors, although FSD does require a driver to still be at the wheel. I do believe the technology is there. Otherwise, what was the point of buying all those NVIDIA (NVDA) chips?The other thing Tesla does have going for it is its vertically integrated supply chain. Tesla has the production capacity to quickly scale this service, not to mention its spare inventory and the many Teslas in existence that could be added to a fleet of robotaxis.But Musk is his own worst enemy. Investors would be able to forgive Tesla for not reaching full autonomy if Musk hadn't always been so optimistic with his timelines. In my opinion, this is now working against the company, and explains, at least in part, why the stock sold off after the event.The Clock Is TickingThe problem with trying to rebrand Tesla as an AI business is that it still takes in 82% of its revenues from EV sales. But Tesla’s lead in this department is quickly shrinking.Share of US electric vehicles (Cox Automotive)The company’s share has fallen below 50% and things may get worse. While the Cybertruck seems to be selling well, production is still limited. Furthermore, the lack of any talk in the recent event of the Model 2, just reinforces this idea.Tesla still has a strong presence in the US market, but it is not growing like before, and it hasn't put as much effort as its competitors to gain market share, since it is not bringing out many new models.This adds extra pressure on Tesla to deliver something new.Tesla Operating Margin (Companiesmarketcap.com)Meanwhile, although Tesla does have a positive operating margin, it is still quite narrow, and there's a risk that all the investment in AI technology could drive margins back into negative territory. Tesla still has enough cash to keep things going for a while, but investors will need to see some payoff to all these investments sooner, rather than later.Final ThoughtsAll in all, the presentation was underwhelming, and it’s not enough for Musk to say stuff or show us prototypes anymore. We need to see an actual product hit the market, and the latest deadlines have to be met.
