OmniVision clarifies 49.70 million-share pledge by controlling shareholder and outlines compliance safeguards

OmniVision Integrated Circuits Group, Inc. released a supplemental announcement on 13 August 2026 detailing the July 2026 pledge of 49.70 million A shares—equivalent to 3.95% of its issued share capital—by controlling shareholder Mr. Yu Renrong to three trust institutions: Yunnan International Trust, Huaneng Guicheng Trust and Xizang Trust.

The pledged shares were used to secure refinancing facilities for Mr. Yu’s pre-existing personal loans. The company acknowledged an earlier misinterpretation of Hong Kong Listing Rule 10.07(1)(b), under which the pledges were initially disclosed. Written undertakings from each pledgee stipulate that the pledged shares will not be disposed of in a manner that breaches the rule’s restrictions, ensuring Mr. Yu’s controlling-shareholder status remains unchanged.

OmniVision emphasised that Mr. Yu maintains solid credit standing, the pledged shares are not exposed to forced liquidation, and overall pledge risk is deemed controllable.

To prevent recurrence of compliance lapses, the board has instituted four measures: 1) continuous monitoring of pledge terms by the Legal Department; 2) regular Listing Rules training for directors and senior management, with focus on Rule 10.07; 3) a mandatory pre-clearance protocol for any future shareholder transactions; and 4) prompt, transparent disclosure of all share-pledge activities.

The company reiterated its commitment to strict adherence to Listing Rules and related regulations. Chairman and Executive Director Mr. Yu signed the announcement on behalf of the board. As of the announcement date, OmniVision’s board consists of nine directors, including four executive, two non-executive and three independent non-executive members.
