Hisense Home Appliances Group Co., Ltd. (HISENSE HA) disclosed that between 21 January 2026 and 14 July 2026 the parent company and two marketing subsidiaries—Qingdao Hisense Air Conditioning Marketing and Guangdong Hisense Refrigerator Marketing—subscribed to a series of 12 “Huaneng Trust Xinying No.1 Collective Fund Trust Plan” products with a combined principal of RMB1.71 billion.
All products are classified as fixed-income, “relatively low-risk” instruments investing in bank deposits, interbank certificates of deposit, bonds and other credit assets. Subscription sizes ranged from RMB25.00 million to RMB310.00 million, each with open-ended tenors determined by subscriber redemption. Expected returns will “fluctuate with the market and are subject to uncertainty.”
Funding source and board approval • The purchases were financed entirely by the Group’s idle self-owned funds. • At the 25 June 2026 AGM, shareholders approved the use of up to RMB23.00 billion of idle funds for short-term, low- to medium-risk fixed-income investments. • The current RMB1.71 billion deployment represents roughly 7.4 % of the approved limit.
Regulatory classification Individually, none of the 12 agreements reached the disclosure thresholds under Hong Kong Listing Rule 14.06. Aggregated, however, the transactions exceed the 5 % asset ratio but remain below 25 %, classifying them as discloseable transactions under Rule 14.22 and requiring public announcement.
Counterparty profile The issuer, Huaneng Guicheng Trust Co., Ltd., is a PRC non-bank financial institution ultimately controlled by China’s State-owned Assets Supervision and Administration Commission of the State Council (SASAC). It is an independent third party to Hisense Home Appliances.
Strategic rationale Directors state that channeling surplus cash into low-risk trust products enhances capital utilisation without impairing daily operations or core business development in refrigerators, air-conditioners, washing machines, kitchen appliances and related lines. The board deems the terms fair, on normal commercial conditions and in the interests of all shareholders.
