Shangri-La Asia Sets 29 May 2026 AGM to Vote on FY25 Results, Dividend, Board Re-election and Share Mandates

Shangri-La Asia Limited has circulated its form of proxy for the Annual General Meeting (AGM) scheduled on 29 May 2026 at 10:30 a.m. in the Atrium, Level 39, Island Shangri-La, Hong Kong. Shareholders recorded by 22 May 2026 are entitled to attend and vote. Key agenda items are as follows:

1. FY25 Financial Statements and Dividend • Shareholders will consider and, if deemed appropriate, adopt the audited financial statements together with the directors’ and auditor’s reports for the year ended 31 December 2025. • A final dividend for FY25 will be proposed for approval.

2. Board Composition and Remuneration • Re-election of five retiring directors: Mr Chua Chee Wui, Mr Teo Nee Chuan, Mr Lim Beng Chee, Mr Yap Chee Keong and Mr Chua Yuan Wen William. • Determination of directors’ fees for the year ending 31 December 2026, covering the Board, Nomination Committee, Remuneration & Human Capital Committee and Audit & Risk Committee.

3. Audit Matters • Re-appointment of Messrs PricewaterhouseCoopers as external auditor for the ensuing year, with authority for directors to fix its remuneration.

4. Capital Management Authorities • A general mandate permitting issuance of new shares up to 20 % of the Company’s issued share capital. • A mandate to repurchase shares up to 10 % of issued share capital. • Conditional authority to issue additional shares equivalent to the number repurchased under the buy-back mandate.

5. Corporate Governance Update • A special resolution seeks shareholder approval to amend and restate the Company’s bye-laws.

All resolutions will be decided by poll. Shareholders may appoint up to two proxies, with proxy forms due to Tricor Investor Services Limited at least 48 hours before the meeting. Completion of a proxy form does not preclude shareholders from attending and voting in person, in which case the proxy appointment will be revoked.
