Weichai Power Co., Ltd. will convene its 2025 Annual General Meeting (AGM) on 22 June 2026 at 2:50 p.m. in the company’s conference room at 197, Section A, Fu Shou East Street, High Technology Industrial Development Zone, Weifang, Shandong Province, PRC.
Major resolutions slated for shareholder approval include:
1. FY 2025 Performance Review • Board of Directors’ report and the full FY 2025 annual report. • Receipt of the audited financial statements and the auditors’ report for the year ended 31 December 2025.
2. Remuneration Matters • Confirmation of directors’ remuneration for 2025 and approval of the remuneration proposal for 2026. • Establishment of a new Remuneration Management System.
3. Profit Distribution and Dividends • Approval of the FY 2025 profit distribution plan. • Authorisation for the Board to declare and distribute any interim dividend for FY 2026.
4. Auditor Appointments • Re-appointment of KPMG Huazhen LLP as external auditor for FY 2026. • Appointment of ShineWing Certified Public Accountants LLP as internal control auditor for FY 2026.
5. Other Corporate Governance Items • Approval of a change in the use of part of the company’s proceeds. • Election of Ms. Zhang Bo as an independent non-executive director, with a term running from the AGM date to the close of the 2026 AGM.
Share Registration and Proxy Details • The H-share register will close from 16 June 2026 to 22 June 2026, inclusive. Shareholders listed on 22 June 2026 are entitled to attend and vote. • Transfer documents for H-shares must reach Computershare Hong Kong Investor Services Limited by 4:30 p.m. on 15 June 2026. • Shareholders may appoint one or more proxies; completed proxy forms must be lodged at Computershare no later than 24 hours before the meeting.
Board Composition Snapshot As of the notice date, the Board comprises four executive directors, one employee representative director, four non-executive directors and five independent non-executive directors.
The AGM is expected to last no more than half a day, and shareholders will bear their own travel and accommodation costs.
