WANGUO GOLD GP Announces HK$5.5 Billion Convertible Bond Issuance Plan

WANGUO GOLD GP (03939) has officially announced a significant financing move, revealing plans to issue convertible bonds with a total principal amount of HK$5.5 billion. This strategic decision was disclosed in a formal company statement released after the market close on August 18, 2026.

Under the terms of the subscription agreement, the placing agents have agreed to subscribe for, or procure subscribers for, the bonds at 100% of their principal amount. Each bond will carry a face value of HK$2 million, or an integral multiple thereof, and the transaction is subject to the conditions outlined in the convertible bond subscription agreement.

The initial conversion price has been set at HK$15.62 per share, representing a premium of approximately 20.15% over the last closing price. If all bonds were fully converted at this initial price, it would result in the issuance of up to 352 million new convertible bond shares. This figure is estimated to represent roughly 7.40% of the company's enlarged issued share capital, excluding treasury shares, following the full conversion and allotment of the new shares.

Gross proceeds from the bond issuance are expected to total HK$5.5 billion. After deducting commissions and other estimated expenses, the net proceeds are projected to amount to approximately HK$5.439 billion. The company has stated that the net proceeds will be strategically allocated to fund the acquisition of overseas gold mining assets, marking a key step in its expansion strategy within the global gold sector.
