Bulletin Express10-23

Hong Kong – Keep Inc. reported a further share repurchase on 23 October 2026, acquiring 100,000 ordinary shares on the Stock Exchange of Hong Kong at prices between HKD 1.065 and HKD 1.165, for a total consideration of HKD 0.11 million. The transaction represents 0.02% of the company’s outstanding shares before the buy-back.

Post-transaction, Keep’s issued share capital (excluding treasury shares) stands at 493.94 million shares, down from 494.04 million on 22 October 2026. Treasury shares increased to 16.34 million, equal to roughly 3.20% of total issued shares of 510.28 million.

Under the shareholder mandate approved on 4 June 2026, Keep is authorised to repurchase up to 50.24 million shares. Cumulative buy-backs since the mandate’s adoption now total 8.48 million shares, or 1.69% of the company’s issued share base on the approval date, leaving significant headroom for further repurchases.

In addition to the latest treasury purchase, 3.52 million shares bought between January and April 2026 remain earmarked for cancellation but had not yet been cancelled as at 23 October 2026—equivalent to approximately 0.71% of current issued shares.

Pursuant to Hong Kong listing rules, Keep is subject to a moratorium on new share issues or treasury share disposals until 22 November 2026. The board confirmed that all repurchases complied with the relevant regulations and that requisite approvals and filings are in place.
