ZTO Express-W cancels 6.47 million Class A shares, reducing free float by 0.84%

ZTO Express-W (ZTO Express (Cayman) Inc.) disclosed on 29 July 2026 that it has cancelled 6.47 million Class A ordinary shares previously repurchased in the open market. The cancellation, executed on 29 July 2026, follows buy-backs of American Depositary Shares between 20 May and 6 July 2026.

Prior to the cancellation, the company had 563.80 million Class A shares outstanding. Post-cancellation, the Class A share count stands at 557.33 million, representing a 0.84% reduction in this class. Class B shares, which carry weighted voting rights, remain unchanged at 206.10 million. Consequently, ZTO Express-W’s total issued share capital has declined from 769.90 million to approximately 763.43 million shares.

The board confirmed that the cancellation was duly authorised and complied with all relevant listing rules and regulatory requirements. No treasury shares remain on the company’s balance sheet, and there were no additional share redemptions or on-market sales of treasury shares during the period covered by the filing.
