Cornerstone Technologies Holdings Limited (“Cornerstone Tec”) has released its 2026 AGM circular, detailing several capital-management proposals and board changes for shareholder approval.
Key AGM Details • Date & Venue: 26 June 2026, 3:00 p.m., Office Units 1107-11, 11/F, New East Ocean Centre, Kowloon, Hong Kong. • Record Date: 26 June 2026; share transfer registration closes from 23 to 26 June 2026. • Voting Method: All resolutions will be decided by poll.
Board Composition & Elections • Four directors—executives Liang Zihao, Li Man Keung Edwin and Pan Wenyuan, plus independent non-executive director Tam Ka Hei Raymond—retire by rotation and are nominated for re-election. • The nomination committee confirms satisfactory performance and, for Mr Tam, continued independence under Rule 5.09 of the GEM Listing Rules.
Capital Mandates • Issue Mandate: Directors seek authority to allot and issue up to 20% of issued shares, equal to 209.92 million new shares, based on 1,049.62 million shares outstanding as at 2 June 2026. • Repurchase Mandate: Authority to buy back up to 10% of issued shares, or 104.96 million shares. • Extension Mandate: Number of shares repurchased under the buy-back mandate may be added to the issuance limit. • Any treasury shares created may later be transferred or cancelled in line with GEM rules.
Auditor Re-appointment • D & Partners CPA Limited is nominated for another term. • Estimated audit fee for FY 2026: HK$1.15 million–HK$1.35 million.
Shareholder Structure Note • Concerted parties led by co-chairmen Wu Jianwei and Liang Zihao control 298.97 million shares, or 28.48% of the company. A full 10% buy-back would raise their interest to approximately 31.65%, triggering a mandatory offer under the Takeovers Code; the board states it has no intention to repurchase shares to that extent.
Proxy Arrangements • Proxy forms must reach Tricor Investor Services by 3:00 p.m. on 24 June 2026. Completion of a proxy does not preclude in-person voting.
The board recommends shareholders vote in favour of all resolutions. The circular is available on the HKEX “Latest Listed Company Information” page and the company’s website for at least seven days from 5 June 2026.
