Minsheng Bank Reports No Share Capital Changes in June; Confirms Compliance With Public-Float Rules

China Minsheng Banking Corp., Ltd. (Minsheng Bank) filed its Monthly Return for Equity Issuer for June 2026, indicating stable capital structure across all share classes and continued adherence to Hong Kong listing requirements.

Authorised and issued share capital • Ordinary H shares: 8.32 billion shares at RMB 1 par; no change during the month. • Ordinary A shares: 35.46 billion shares at RMB 1 par; unchanged. • RMB-denominated 3.17% perpetual domestic preference shares: 200.00 million shares at RMB 100 par (RMB 20.00 billion face value); unchanged. Total authorised/registered share capital remained RMB 63.78 billion.

Public-float confirmation Minsheng Bank affirmed that H-share public float met the Main Board’s minimum 5% threshold as at 30 June 2026.

Convertible instruments The bank’s RMB 20.00 billion in domestic preference shares are compulsorily convertible into up to 2.73 billion A shares upon trigger events at an adjusted conversion price of RMB 7.33 per A share. No conversions occurred in June.

Treasury shares and other equity movements The issuer held no treasury shares and executed no share repurchases, cancellations, issuances, options, warrants, or other equity-related transactions during the month.

Governance confirmation The filing, signed by Company Secretary Wang Honggang, states that all regulatory, listing-rule and legal requirements were met for the reporting period.
