AOM International to Convert HK$39.77 Million Debt into Equity via 147.30 Million New Shares

AOM International Group Company Limited has agreed to issue 147.30 million new shares at HK$0.270 each to subscriber Ms. Ou Zhu, converting a HK$39.77 million shareholder loan (principal HK$37.52 million; accrued interest HK$2.25 million) into equity.

The subscription price represents: • a 19.40% discount to the HK$0.335 closing price on 2 April 2026; • a 20.35% discount to the five-day average price of HK$0.339; • a theoretical dilution effect of 2.25% under Listing Rule 7.27B.

Upon completion, the new shares will account for 12.45% of AOM International’s current issued share capital and 11.07% on an enlarged basis, increasing Ms. Ou Zhu’s stake from 4.50% to 15.07%.

Proceeds will be settled entirely by offsetting the indebted amount, reducing the company’s gearing and future interest burden while transforming a net current liabilities position of HK$26.60 million (as at 31 December 2025) into net current assets. The aggregate nominal value of the shares to be issued is HK$14.73 million.

The transaction requires: 1. Independent shareholder approval at a special general meeting (SGM); 2. Listing approval for the new shares; 3. Completion by 29 May 2026, or a later date mutually agreed.

Ms. Ou Zhu must abstain from voting at the SGM due to her material interest. No other shareholders are required to abstain.

A circular with full details will be dispatched on or before 28 April 2026. Completion remains subject to all conditions being met, and shareholders are advised to exercise caution when dealing in the company’s shares.
