Genscript Bio Plans Fifth Amended Memorandum and Articles to Comply with Updated HKEX Rules

Genscript Bio announced on 10 April 2026 that its board intends to replace the current fourth amended and restated memorandum and articles of association with a fifth version, consolidating a series of targeted revisions.

The proposed amendments are designed to: • Align corporate documents with recent Hong Kong Stock Exchange changes covering hybrid general meetings, electronic voting, treasury shares, and the uncertificated securities market regime. • Update housekeeping provisions to remain consistent with Cayman Islands company law and prevailing Listing Rules requirements.

Implementation requires a special resolution at the forthcoming annual general meeting. If shareholders approve, the new memorandum and articles will take immediate effect. A circular detailing the full text of the amendments, AGM notice and proxy form will be dispatched in due course.

The board currently consists of four executive directors and six independent non-executive directors. Chairman and Executive Director Robin Meng signed the announcement on behalf of the board.
