Huzhou Gas (06661) Announces EGM for Proposed Articles Amendments, Supervisory Committee Abolition, and Director Appointment

Huzhou Gas Co., Ltd. (Stock Code: 06661) plans to hold an Extraordinary General Meeting (EGM) on Friday, 14 November 2025, at 10:00 a.m. to consider multiple strategic proposals. According to the announcement, the meeting venue is set at the Company’s office in Huzhou, Zhejiang Province.

Key resolutions include amendments to the Articles of Association, highlighted by the proposed removal of the Supervisory Committee. The Audit Committee is expected to assume supervision-related roles, aligning with updated regulatory requirements. Shareholders at the EGM will vote on these changes by special resolution.

An appointment of a new non-executive Director is also on the agenda. Mr. Sun Xiaowei, aged 38, with an engineering and project investment background, has been nominated. If elected, his term will run until the current Board session ends, subject to a formal service contract and requisite duties under the Company Law.

The Company has further outlined procedural details for shareholders wishing to attend the EGM or vote by proxy. The H Share register of members will be closed from 11 November 2025 to 14 November 2025 (both days inclusive), and only holders recorded before closure are eligible to participate in relevant voting procedures.
