BYD Electronic to Distribute RMB0.156 Final Dividend, Targets 20% Issue and 10% Buy-back Mandates at 9 June 2026 AGM

BYD Electronic (International) Company Limited has called its 2026 Annual General Meeting for 9 June 2026 at the Shenzhen headquarters of its parent, BYD Company Limited. Shareholders will vote on eleven resolutions that cover dividend distribution, board composition, auditor re-appointment, and fresh capital management mandates.

The board is recommending a final cash dividend of RMB0.156 per share for the financial year ended 31 December 2025. Shareholders on record as of 18 June 2026 will be eligible, with the payout scheduled on or before 31 July 2026. The share register will be closed from 15 to 18 June 2026, and transfers for dividend entitlement must be lodged by 4:30 p.m. on 12 June 2026.

Key governance items include the proposed re-appointment of Ernst & Young as external auditor for FY 2026 and the re-election or election of four directors: executive director Jiang Xiang-rong, non-executive director Wang Chuan-fu, and independent non-executive directors Rong Xiu-li and Cao Yu-shan. The board also seeks authorization to set directors’ remuneration.

On capital management, the company is requesting: • A general mandate allowing the board to issue, allot or deal with new shares up to 20% of the issued share capital (excluding any treasury shares) during the mandate period. • A separate mandate to repurchase shares up to 10% of issued share capital. • An extension permitting the issued-share mandate to be increased by the number of shares repurchased under the buy-back mandate, effectively adding up to an extra 10%.

Shareholders wishing to vote must lodge proxy forms by 9:00 a.m. on 7 June 2026. The share register will be closed from 4 to 9 June 2026, with transfers for AGM voting eligibility required by 4:30 p.m. on 3 June 2026.
