Ganfeng Lithium Announces Company Secretary Transition and Receives Three-Year Listing Rules Waiver

Ganfeng Lithium Group Co., Ltd. (Ganfeng Lithium) disclosed a forthcoming senior-level change, effective 30 March 2026. Incumbent company secretary, authorised representative and Hong Kong process agent Mr. Cheung Kai Cheong Willie will resign. Mr. Cheung confirmed there is no disagreement with the board and no other matters requiring shareholder or Stock Exchange attention.

To ensure continuity, the board approved the appointment of two joint company secretaries: • Ms. Liao Yilin – currently head of securities business at the company and responsible for information disclosure, compliance, corporate governance, equity incentive administration and H-share investor relations. She joined in May 2020 and holds a master’s degree in accounting and finance from the University of Aberdeen (2019). • Ms. Wan Wing Yi Carol – a manager at SWCS Corporate Services Group (Hong Kong) Ltd. with more than 11 years of corporate secretarial experience. She is an associate member of both The Hong Kong Chartered Governance Institute and The Chartered Governance Institute (UK), and holds a Master of Corporate Governance from The Open University of Hong Kong. Ms. Wan will also serve as the authorised representative and process agent in Hong Kong.

Because Ms. Liao does not yet meet the professional qualification requirements under Listing Rule 3.28, Ganfeng Lithium obtained a waiver from strict compliance with Rules 3.28 and 8.17. The waiver covers the three-year period from 30 March 2026 to 29 March 2029, subject to two conditions: 1. Ms. Liao must work under the ongoing guidance of Ms. Wan throughout the waiver period. 2. The waiver may be revoked if Ganfeng Lithium commits material breaches of the Listing Rules.

Before the waiver expires, the company must satisfy the Stock Exchange that Ms. Liao has acquired sufficient experience to continue as company secretary without further waiver.

The board welcomed Ms. Liao and Ms. Wan to their new roles while expressing gratitude to Mr. Cheung for his service.
