China XLX Fertiliser Ltd. announced that, effective 22 July 2026, Mr. Tan Wei Shyan will be re-designated from Independent Non-Executive Director to Non-Executive Director. The decision follows feedback from The Stock Exchange of Hong Kong Limited regarding Mr. Tan’s independence status and aims to ensure full compliance with Hong Kong Listing Rules on director independence.
Under the new arrangement, Mr. Tan will: 1. Remain a member of the Audit Committee and the Remuneration Committee. 2. Step down as Chairman of the Remuneration Committee and as a member of the Nomination Committee.
Concurrent with the change, Independent Non-Executive Director Mr. Li Hongxing has been appointed Chairman of the Remuneration Committee, maintaining the committee’s compliance with Listing Rule composition requirements.
Key terms for Mr. Tan remain unchanged: • Initial appointment term: three years. • Annual director’s fee: SGD 95,000. • Eligibility for re-election at the next annual general meeting, followed by retirement by rotation under the company’s Articles.
Mr. Tan, aged 48, is a director in the corporate & finance practice group at Drew & Napier LLC and has over two decades of corporate finance and capital-markets legal experience. His external directorships include independent board roles at SGX-listed JEP Holdings, Anchun International Holdings, and HGH Holdings.
Following the re-designation, China XLX Fertiliser will continue to meet Listing Rule 3.10(1), retaining at least three independent non-executive directors on its board.
