Zhou Hei Ya Updates on Share Buybacks: 128,500 Shares Repurchased on 7 July; Pending Cancellation Climbs to 8.73 Million

Hong Kong – Zhou Hei Ya International Holdings Company Limited released a Next Day Disclosure Return on 7 July 2026 detailing its latest share repurchase activities and capital position.

The company’s issued share capital stood at 2.08 billion ordinary shares as of 7 July 2026, unchanged from the previous day because the repurchased shares have not yet been cancelled.

On 7 July 2026, Zhou Hei Ya bought back 128,500 shares on the Hong Kong Stock Exchange at prices ranging between HK$1.24 and HK$1.29, for a total consideration of HK$162,680. These shares are designated for cancellation.

Including this transaction, the company has accumulated 8.73 million shares repurchased but not yet cancelled between 1 June and 7 July 2026, equivalent to roughly 0.42 % of the current issued share base. Under the general mandate approved on 10 June 2026, 6.74 million shares have been repurchased, representing 0.319 % of the shares outstanding on the mandate date. The mandate allows for up to 211.29 million shares to be bought back, leaving more than 96 % of the authorised limit available.

Across the 23 repurchase sessions disclosed, daily volume-weighted average prices ranged from HK$1.18 to HK$1.48 per share.

The filing states that Zhou Hei Ya is subject to a 30-day moratorium on issuing new shares or transferring any treasury shares until 6 August 2026, unless prior approval is obtained from the Hong Kong Stock Exchange. Chairman, Executive Director and Chief Executive Officer Zhou Fuyu confirmed that all repurchases complied with the Main Board Listing Rules and that no material changes have been made to the explanatory statement dated 20 April 2026.
