VOYAH Auto Renames Board Committee to “Strategic Planning and ESG Committee”, Amends Articles and Reshuffles Remuneration Panel

On 23 April 2026 VOYAH Automotive Technology Co., Ltd. announced governance enhancements centred on environmental, social and governance (ESG) oversight. The Board approved renaming the existing Strategic Planning Committee as the “Strategic Planning and ESG Committee of the Board”, effective immediately. The committee’s mandate now explicitly covers ESG management while its membership remains unchanged.

To align corporate bylaws with the new structure, directors endorsed specific amendments to Articles 114, 132 and 133 of the Articles of Association. Key changes include adding Board responsibility for disclosure management and formally recognising the newly named Strategic Planning and ESG Committee. These amendments require shareholder approval by special resolution at the 2025 annual general meeting and will take effect upon adoption.

Separately, the Board reconstituted the Remuneration and Appraisal Committee, appointing independent non-executive director Dr. Yang Yong as a member and relieving executive director Mr. Lu Fang from the role, effective 23 April 2026. The three-member committee now comprises Mr. Fu Bingfeng (Chairperson), Dr. Yang Yong and Mr. Sun Patrick.

All other provisions of the Articles of Association and the composition of the newly renamed Strategic Planning and ESG Committee remain unchanged. The measures aim to bolster VOYAH Auto’s governance framework and enhance compliance with Hong Kong Stock Exchange ESG requirements.
