MOG Digitech Holdings Limited announced a delay in dispatching its shareholder circular related to the planned disposal of equity interests in certain subsidiaries—a transaction classified as a major disposal under Hong Kong Listing Rules.
The circular, initially scheduled for distribution on or before 24 July 2026, will now be sent on or before 14 August 2026. Management cited the need for additional time to complete and finalise the documentation, which will include: • A Board letter detailing the disposal agreement and associated transactions, • An independent valuation report on the fair value of the equity interests to be sold, and • A notice convening an extraordinary general meeting (EGM) for shareholder approval.
The postponement does not alter previously disclosed transaction terms; it solely affects the timing of shareholder communication and the EGM notice. The company’s Board currently comprises three executive directors—Chen Yongzhong (Chief Executive Officer), Deng Zhihua and Zhou Yue—and three independent non-executive directors—Yau Tung Shing, Chen Wen and Gao Hongxiang.
The announcement was released in Hong Kong on 23 July 2026 and emphasised that Hong Kong Exchanges and Clearing Limited and The Stock Exchange of Hong Kong Limited bear no responsibility for its contents.
