Jinyuan HChem Releases 2025 AGM Agenda: No Final Dividend, Deloitte Re-appointed as Auditor

Henan Jinyuan Hydrogenated Chemicals Co., Ltd. (“Jinyuan HChem”) has circulated its proxy form detailing seven ordinary resolutions to be tabled at the 2025 Annual General Meeting (AGM), scheduled for 9:30 a.m. on 20 May 2026 in Hong Kong.

Key agenda items include:

1. Board and Supervisory Reports • Shareholders will review the board of directors’ report and the supervisory committee’s report for the financial year ended 31 December 2025.

2. FY-2025 Financial Statements and Annual Report • The meeting will consider and receive the audited consolidated financial statements and auditors’ report, alongside the full annual report for FY-2025.

3. Profit Distribution Policy • The board proposes no payment of a final dividend for FY-2025. The AGM will vote on this recommendation.

4. Auditor Appointment • Deloitte Touche Tohmatsu is nominated to continue as external auditor from the close of the 2025 AGM until the conclusion of the 2026 AGM, with the board authorised to determine remuneration.

5. Interim Dividend Mandate for FY-2026 • Directors seek a general mandate to decide, at their discretion, whether to declare and distribute an interim dividend in 2026 and to handle all related matters.

Shareholders may appoint the AGM chairman or another designated proxy to vote on their behalf. Completed proxy forms must reach Computershare Hong Kong Investor Services by no later than 24 hours before the meeting commences.
