ITC Properties Group Publishes 2025–2026 Annual Report and Issues Circular on Director Changes, Share Mandates and Name Change Proposal

ITC Properties Group Limited announced on 29 July 2026 that the English and Chinese versions of its 2025–2026 Annual Report and accompanying corporate documents are now available on both the company’s website (www.itcproperties.com) and the HKEX news portal (www.hkexnews.hk).

Key disclosures in the current set of documents include: • 2025–2026 Annual Report, providing the latest audited financial statements and directors’ report. • A comprehensive circular covering: – Retirement and re-election of retiring directors; – Proposed appointment of new independent non-executive directors; – General mandates authorising the board to issue new shares and to repurchase shares; – Proposal to re-appoint the external auditor; – Proposed change of company name; and – Proposed amendments to the existing Bye-laws and adoption of new Bye-laws. • Notice of the forthcoming Annual General Meeting and the related proxy form.

Shareholders who have opted for printed communications will receive the hard-copy set in their selected language(s). Those who elected to access materials electronically but experience difficulties, or who wish to obtain printed copies, may request them free of charge from the company’s Hong Kong branch share registrar, Tricor Investor Services Limited, 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong.

Investors can modify their future communication preferences—choosing between electronic or printed formats and English, Chinese or bilingual versions—by notifying the registrar at least seven days in advance via post or email (itcproperties-ecom@vistra.com).
