Tonghua Golden-Horse Pharmaceutical Industry Co., Ltd. (000766.SZ) has announced that its wholly-owned subsidiary, Guilin Golden-Horse Innovation Investment Co., Ltd. (referred to as "Guilin Golden-Horse"), signed a Merger and Acquisition Intent Agreement with Eight Plus One Pharmaceutical Co., Ltd. (referred to as "Eight Plus One") on August 6, 2026.

Under the agreement, Guilin Golden-Horse intends to acquire a controlling stake in Eight Plus One. Eight Plus One is an innovative pharmaceutical enterprise primarily focused on original new drug research and development, headquartered in the Guilin Economic and Technological Development Zone.

The company holds 23 pharmaceutical R&D patents and possesses clinical trial approvals for two Class 1 chemical new drug varieties and one Class 1 traditional Chinese medicine new drug variety. This strategic move is a key step in deepening Tonghua Golden-Horse's presence in the neurological disease sector and accelerating its strategic transformation.

By leveraging Eight Plus One's original new drug research platform and product pipeline, the acquisition aims to further enrich the company's innovative product portfolio in neurology, enhance its overall competitiveness and long-term value in the pharmaceutical innovation field, and drive Tonghua Golden-Horse's complete transformation into a research and innovation-led comprehensive pharmaceutical enterprise.
