Hatcher Group Monthly Return: Share Capital Unchanged, 198.75 Million Shares in Issue as at 30 September 2026

Hatcher Group Limited has filed its monthly return with Hong Kong Exchanges and Clearing Limited for the period ended 30 September 2026, confirming stable capital metrics and full compliance with public-float rules.

Authorised and Issued Share Capital • Authorised share capital remained at 10.00 billion ordinary shares with a par value of HKD 0.01 each, equivalent to HKD 100.00 million. • Issued share capital was unchanged at 198.75 million ordinary shares. No treasury shares were held or cancelled, and there were no new share issues or repurchases during the month.

Public Float The company affirmed that it met the minimum 25% public-float requirement stipulated under GEM Rule 17.37D(1) as at 30 September 2026.

Equity-Based Incentives Under the Share Option Scheme adopted on 4 May 2017, Hatcher Group reported: • No outstanding share options at month-end. • No options exercised, granted or cancelled during September. • Capacity remains to issue up to 5.13 million new shares under the existing scheme. There were no warrants, convertible securities, or other agreements outstanding that could result in additional share issuance.

Regulatory Compliance Director Hui Ringo Wing Kun confirmed that all statutory and listing-rule requirements were met, including receipt of all monies due, fulfilment of listing conditions and adherence to public disclosure standards.
