Aspial Lifestyle unveils 84.8 million Singapore dollars equity fund raising plan

Aspial Lifestyle Limited has launched an equity fund-raising exercise to secure approximately 84.8 million Singapore dollars through a combination of a private placement and a non-renounceable preferential offering.

The company will place 149.254 million new shares with institutional and accredited investors at 0.402 Singapore dollars each, targeting proceeds of about 60.0 million Singapore dollars. Concurrently, it will undertake a preferential offering of 61.709 million new shares to existing shareholders on the basis of one new share for every 30 held, also at 0.402 Singapore dollars per share, to raise roughly 24.8 million Singapore dollars.

Both issue prices represent an 8.1% discount to the volume-weighted average price of 0.4375 Singapore dollars recorded on May, 13 2026, the last full trading day before the company requested a trading halt on May, 14 2026.

Net proceeds are earmarked as follows: about 67.8 million Singapore dollars (80%) for general corporate purposes, including expansion of the pawnbroking and secured lending businesses and potential acquisitions; around 15.3 million Singapore dollars (18%) for working capital and debt repayment; and roughly 1.7 million Singapore dollars (2%) for transaction expenses.

Controlling shareholders Aspial Corporation Limited and non-executive chairman Koh Wee Seng have irrevocably committed to take up their full entitlements of 43.69 million and 6.14 million shares respectively under the preferential offering.

Listing and trading of the 149.254 million placement shares are expected on May, 25 2026, while the preferential offering will open on May, 28 2026, with acceptance and payment due by June, 8 2026. The 61.709 million preferential offering shares are slated to begin trading on June, 17 2026.

The new shares will be issued under the company’s general mandate approved at the Apr, 28 2026 annual general meeting and will increase Aspial Lifestyle’s issued share capital by about 11.4% to 2.062 billion shares, enhancing the stock’s free float and liquidity.
