Controlling Shareholder of Omnivision Pledges Company Shares

Omnivision (SEHK: 00501) has announced that it was informed on July 13, 2026, that its controlling shareholder, Mr. Yu Renrong, has pledged a portion of his holdings.

The pledge involves 22 million A-shares of the company, representing approximately 1.75% of the total issued share capital as of the announcement date. These shares were pledged to Yunnan International Trust Co., Ltd. as the beneficiary to secure genuine financing.

According to the company's directors' knowledge, Yunnan International Trust is an independent third party and not a connected person of the company. The trust company has provided Mr. Yu with a letter of undertaking.

This undertaking states that during the term of the share pledge, Yunnan International Trust will not exercise or realize any security rights over the pledged shares held by Mr. Yu under the financing documents. This arrangement is designed to ensure compliance with specific regulatory requirements.

The purpose of the undertaking is to prevent any action that would cause Mr. Yu to breach the restrictions under Rule 10.07(1)(b) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited. It also aims to ensure that this transaction does not result in him ceasing to be the company's controlling shareholder.
