NVIDIA Off-Balance-Sheet Commitments Soar to $530 Billion, SemiAnalysis Says Could Top $1 Trillion

NVIDIA's off-balance-sheet financial commitments are expanding at an alarming pace, drawing intense market scrutiny over the flexibility of its balance sheet and its capacity to absorb risk.

According to NVIDIA's latest 10-Q quarterly filing, its total off-balance-sheet guarantees have reached $530 billion, a sharp jump from the $184 billion disclosed in the previous quarter — an increase of more than 180% in a single quarter. This figure spans six different categories, covering obligations such as supply commitments, data center backstop agreements, and cloud service leases.

Research firm SemiAnalysis, after conducting a deep breakdown of the data, noted that as NVIDIA's profitability continues to strengthen, its off-balance-sheet obligations could further expand to more than $1 trillion in the coming years. At the same time, the firm raised a core question: if the industry experiences a slowdown or downturn, can NVIDIA fulfill all of its on- and off-balance-sheet commitments while still maintaining an adequate margin of safety?

Single-Quarter Surge of Over $180 Billion Driven by Six Categories

According to NVIDIA's latest 10-Q filing, the $530 billion in total off-balance-sheet guarantees is composed of six categories, with this quarter's increase mainly coming from the following areas.

First, supply commitments rose sharply, primarily related to commitments for purchasing memory. Second, data center backstop agreements expanded, including backstop support for SB Energy's PORTS-Pike campus in Ohio, a project whose end customer is OpenAI. Third, two entirely new categories appeared on the disclosure list for the first time — a $36 billion AI cloud services agreement (representing backstop commitments to Neocloud operators), and a $20 billion data center lease (with NVIDIA signing first and subsequently transferring it to a Neocloud counterparty).

This structure indicates that NVIDIA is becoming increasingly deeply involved in the financing and guarantee chain of AI infrastructure. Its role is no longer limited to that of a chip supplier, but now extends to acting as a credit backer for the data center ecosystem.

Rapid Profit Growth Provides Capacity, EBITDA Projected at $450 Billion

SemiAnalysis emphasized that the continued expansion of these off-balance-sheet obligations is built on NVIDIA's strong cash flow generation capability. The firm estimates that NVIDIA's EBITDA will reach $450 billion in the fiscal year ending January 2028.

Based on this earnings growth and cash generation trajectory, SemiAnalysis believes NVIDIA has the capacity to further expand its off-balance-sheet obligations to more than $1 trillion. The firm explicitly stated that the related calculations are not an earnings forecast, but rather an analytical framework for assessing the theoretical upper limit of obligations NVIDIA could take on while maintaining an adequate margin of safety.

Core Risk: Ability to Meet Obligations in a Downturn Scenario Remains Uncertain

Although the current earnings outlook supports NVIDIA's expansion logic, SemiAnalysis also directly pointed to the risk proposition of greatest concern to the market: if AI infrastructure investment experiences a cyclical slowdown or an industry downturn, can NVIDIA simultaneously fulfill all of its on- and off-balance-sheet commitments?

There is currently no definitive answer to this question. SemiAnalysis said its latest newsletter article systematically breaks down the evolution paths of various off-balance-sheet obligations under different scenarios, aiming to provide investors with an analytical framework for assessing NVIDIA's financial flexibility rather than offering a single conclusion.

For investors holding or watching NVIDIA, the rapid inflation of off-balance-sheet commitments means that looking only at the balance sheet is far from enough when evaluating the company's true financial exposure.
