WeRide lifts 2025 connected-transaction cap for mapping services to RMB69.00 million

WeRide Inc. has retroactively raised the 2025 spending ceiling under its Mapping and Data Services Procurement Framework Agreement with Guangzhou Yuji Technology Co., Ltd. from RMB65.00 million to RMB69.00 million to accommodate higher-than-expected demand from its expanding autonomous-driving operations.

The Audit Committee approved the increase on 21 November 2025, citing accelerated robotaxi and data-center requirements; the board ratified the decision in April 2026. Actual procurement for 2025 totaled RMB66.80 million, staying within the revised limit.

The framework agreement, signed on 15 October 2025 and running through 31 December 2027, covers production of high-definition maps, data collection, labeling and related services. Original annual caps were set at RMB65.00 million (2025) and RMB70.00 million for each of 2026 and 2027.

Regulatory status • Guangzhou Yuji qualifies as a connected person because 99% shareholder Guangzhou Xiaoyao is controlled by Ming Han, brother of WeRide’s chairman and CEO, Dr. Tony Xu Han. • The revised cap yields percentage ratios above 0.1% but below 5%; therefore the transactions are subject to reporting, announcement and annual review, yet exempt from circular and independent shareholders’ approval under Hong Kong Listing Rule 14A.76. • The company acknowledged a delay in disclosing the revision, attributing it to staff unfamiliarity with Listing Rule 14A.54 requirements.

Internal-control actions WeRide has instituted quarterly monitoring of connected-transaction volumes, mandated regular Listing Rules training for directors and staff, strengthened cross-department reviews of contract terms and pricing, and tasked external auditors and independent non-executive directors with ongoing oversight.

Management and the independent board members consider the revised cap fair, reasonable and in the best interests of the company and its shareholders, ensuring uninterrupted access to critical mapping and data services as WeRide scales its global autonomous-driving business.
