SG Group: Adviser Reaffirms Fair-and-Reasonable View on Mandatory Unconditional Cash Offer

SG Group Holdings Limited announced that Sorrento Capital Limited, the Independent Financial Adviser (IFA) appointed under Rule 2.1 of the Hong Kong Takeovers Code, maintains its original assessment that the mandatory unconditional cash offer for all SG Group shares—other than those already held or agreed to be acquired by the offeror and its concert parties—is fair and reasonable.

The IFA reviewed the company’s annual results for the year ended 30 April 2026, released on 29 July 2026, and confirmed that the new information does not alter its prior recommendations contained in the composite offer and response document dated 24 July 2026.

Following the IFA’s confirmation, the Independent Board Committee reiterated its unchanged recommendation that independent shareholders consider accepting the offer.

Shareholders and potential investors are reminded to examine the composite document and accompanying form of acceptance carefully and to exercise caution when dealing in SG Group shares. Respective associates of both the offeror and the company must continue to observe Takeovers Code restrictions on dealings and disclose any permissible transactions.

The board, led by Chairman and Executive Director Zha Wenyu, accepts full responsibility for the accuracy of the information in the announcement, which will remain available on the Hong Kong Stock Exchange and company websites for at least seven days from publication.
