ZCZL Industrial Technology to Hold 25 Aug 2026 EGM for A-Share Repurchase Plan

ZCZL Industrial Technology Group Company Limited will convene its third extraordinary general meeting of 2026 at 2:00 p.m. on Tuesday, 25 August 2026, at the company’s Convention Centre, No. 167, 9th Street, Zhengzhou Section (Econ-Tech Development Zone) of China (He’nan) Pilot Free Trade Zone.

The sole agenda item is a special resolution covering a comprehensive A-share buyback proposal to be executed via centralized bidding. Key elements to be put to shareholder vote include:

• Purpose, class, and quantity of shares targeted for repurchase • Timeframe, pricing range, and funding source for the buyback • Post-repurchase arrangements for share cancellation or transfer and measures to protect creditor interests • A specific authorization empowering the board to carry out all procedural aspects of the repurchase

Register of members for H-shareholders will be closed from Thursday, 20 August 2026 to Tuesday, 25 August 2026 (both days inclusive). H-shareholders recorded on 25 August 2026 are entitled to attend and vote. Transfers must be lodged with Computershare Hong Kong Investor Services Limited by 4:30 p.m. on Wednesday, 19 August 2026 to qualify.

Votes at the EGM will be taken by poll. Shareholders may appoint proxies; completed proxy forms must reach Computershare not less than 24 hours before the meeting.

The board is currently composed of four executive directors, one non-executive director, and three independent non-executive directors, with Chairman Jiao Chengyao signing the notice dated 5 August 2026.
