CITIC has announced that its subsidiary, Citic Offshore Helicopter Co.,Ltd., passed two key resolutions during the third meeting of its ninth board of directors, held on Thursday, September 3, 2026. The board approved a proposal to remove independent director Dong Tieniu from his position and another to nominate a new candidate for the independent director role.
According to the announcement, Dong Tieniu failed to attend two consecutive board meetings in person without valid justification, and he did not delegate other independent directors to attend on his behalf during his tenure. Following a review by the board's nomination committee and subsequent board approval, the company plans to terminate his role as an independent director of the ninth board, along with his corresponding positions on board special committees. As of the disclosure date, Dong Tieniu has raised no objections regarding the proposed removal.
The removal proposal will be submitted for deliberation at the fourth extraordinary shareholders' meeting in 2026 and will take effect immediately upon approval by the shareholders. In a separate move, the board has decided to nominate Sun Bing as a candidate for independent director of the ninth board, subject to approval by the nomination committee. His term would commence upon election by the shareholders and extend until the conclusion of the current board's tenure.
