CDB Financial Leasing (1606) Announces Finance Lease Transaction with Beijing China Auto Rental

CHINA DEVELOPMENT BANK FINANCIAL LEASING CO., LTD. (Stock Code: 1606) has disclosed a finance lease transaction with Beijing China Auto Rental Co., Ltd. dated 27 February 2026. According to the announcement, the transaction involves the purchase of certain vehicles under the Current Finance Lease Agreement for approximately RMB257.00 million, followed by a 60-month lease period. The total lease interest over this term is around RMB26.00 million.

The company determined the total value of the leased vehicles to be about RMB270.00 million based on relevant prices and taxes. Under the agreement, ownership of the vehicles will transfer to the lessor during the lease period, and upon lease expiry, the lessee may repurchase the vehicles at a nominal price of RMB1 per vehicle.

Within 12 months before this transaction, CHINA DEVELOPMENT BANK FINANCIAL LEASING CO., LTD. entered into several other finance lease agreements with the same lessee, involving a total consideration of around RMB763.00 million. Under Listing Rule 14.22, the transactions must be aggregated; upon aggregation, the highest applicable percentage ratio exceeds 5% but remains below 25%. Consequently, the combined transactions qualify as a discloseable transaction, requiring reporting and announcement but no circular or shareholder approval under Chapter 14 of the Listing Rules.
