STARPLUS LEGEND to Hold Online AGM on 26 June 2026, Seeks 10% Buy-Back and 20% Issuance Mandates

STARPLUS LEGEND has distributed its proxy form outlining key proposals for the Annual General Meeting scheduled for 26 June 2026 at 11:00 a.m., to be conducted via the online platform http://meetings.computershare.com/StarPlusLegend_AGM2026. Registered shareholders must submit proxy forms to Computershare Hong Kong Investor Services by 24 June 2026 to participate virtually or vote by proxy.

Key agenda items include:

• Financial Statements: Shareholders will vote on adopting the audited consolidated financial statements, together with directors’ and auditor’s reports, for the year ended 31 December 2025.

• Board Composition: The meeting will consider the re-election of Non-executive Directors Mr Yang Chun-Jung and Mr Chen Chung, as well as Independent Non-executive Director Dr Xue Jun. The board will also seek authority to determine directors’ remuneration.

• Auditor Re-appointment: PricewaterhouseCoopers is nominated for re-appointment as external auditor, with the board authorised to fix its remuneration.

• Capital Management Mandates: – Repurchase Mandate: Authorisation to repurchase up to 10% of the company’s issued shares, excluding any treasury shares. – Issue Mandate: Authorisation to allot and issue up to 20% of the company’s issued share capital, excluding treasury shares. – Extension Mandate: Conditional on passage of the above two resolutions, the issue mandate may be increased by the number of shares repurchased under the 10% buy-back authority.

All resolutions will be decided by poll. Each fully paid share carries one vote, and shareholders may appoint more than one proxy provided the share allocation is specified for each proxy.
