CN Anchu Energy Storage Group Limited will ask shareholders to approve several capital management resolutions at its Annual General Meeting (AGM) scheduled for 27 May 2026 in Hong Kong.
Key proposals 1. General Mandate for New Shares • Authorises the board to issue, allot or transfer treasury shares representing up to 20% of the company’s 3.57 billion issued shares (maximum 714.28 million shares). • Includes an extension permitting any shares bought back under the repurchase mandate to be re-issued.
2. Share Buy-back Mandate • Permits on-market repurchases of up to 10% of issued share capital, or 357.14 million shares. • Repurchased shares may be cancelled or held as treasury shares in line with amended Listing Rules.
3. Increase in Authorised Share Capital • Expands authorised share capital from HK$10.00 million to HK$20.00 million by creating an additional 4.00 billion shares of HK$0.0025 par value, lifting the limit to 8.00 billion shares. • Post-approval, authorised but unissued shares will rise to 4.43 billion, assuming no interim issuance or buy-backs.
4. Board Changes • Re-election of Executive Directors Kwok Hon Fung and Duan Huiyuan. • Re-election of Independent Non-Executive Directors Philip Poon (in office >9 years, requires separate vote) and Ma Yu-heng.
Meeting logistics • Record date: 27 May 2026. • Register closure: 20–27 May 2026 (both days inclusive). • Shareholders must lodge transfers by 4:30 p.m. on 19 May 2026 to qualify for AGM attendance and voting. • Proxy forms must reach Boardroom Share Registrars (HK) Limited at least 48 hours before the meeting.
Auditors and remuneration • Re-appointment of Suya WWC CPA Limited as external auditor for FY 2026 and authorisation for the board to fix its fees.
All resolutions will be decided by poll, and results will be published on the Hong Kong Stock Exchange and company websites after the meeting.
