Chong Fai Jewellery Schedules 12 Aug 2026 AGM; Share Issue Mandate Up to 20% and Buy-back Cap at 10% Proposed

Chong Fai Jewellery Group Holdings Company Limited will convene its Annual General Meeting (AGM) on 12 August 2026 at 11:30 a.m. (Hong Kong time) at No. 6-13, Faerie Court, 80 Ko Shan Road, Hung Hom, Kowloon, Hong Kong.

Key resolutions to be tabled include:

1. Financial Statements • Shareholders will consider adoption of the audited consolidated financial statements and the reports of the directors and auditors for the year ended 31 March 2026.

2. Board Composition • Independent non-executive directors Mr. Chan Cheong Tat, Mr. Wong Wing Keung Meyrick and Mr. Chan Chi Ming Tony are standing for re-election, with remuneration to be set by the board.

3. Auditor Appointment • Grant Thornton Hong Kong Limited is nominated for re-appointment as external auditor until the next AGM, with remuneration to be fixed by the board.

4. General Mandate to Issue Shares • Directors seek authorisation to allot and issue new shares up to 20 % of the issued share capital as at the date of the AGM. • The mandate extends to offers, agreements or options granted during the mandate period and remains effective until the earlier of the next AGM, the statutory deadline for holding it, or shareholder revocation.

5. Share Buy-back Mandate • The board requests approval to repurchase shares on the market up to 10 % of the issued share capital as at the AGM date, valid for the same mandate period.

6. Extension Mandate • Conditional on passing the above two mandates, the number of shares repurchased under the buy-back mandate may be added to the 20 % issue mandate, effectively allowing issuance of up to an additional 10 % of share capital.

Administrative details: • Record date for voting eligibility: 12 August 2026. • Share transfer books close from 6 August 2026 to 12 August 2026, inclusive; transfers must be lodged by 4:30 p.m. on 5 August 2026. • Shareholders may appoint proxies; proxy forms must reach Tricor Investor Services Limited at 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong at least 48 hours before the meeting. • Bad weather contingency: if a black rainstorm or typhoon signal No. 8 (or above) is in force at 9:30 a.m. on 12 August, the AGM will be postponed to 19 August 2026 at the same venue and time.

The board currently comprises four executive directors—Mr. Fu Chun Keung (Chairman & CEO), Ms. Cheung Lai Yuk, Ms. Fu Tan Ling, and Mr. Fu Ho Hon—and three independent non-executive directors—Mr. Chan Cheong Tat, Mr. Wong Wing Keung Meyrick, and Mr. Chan Chi Ming Tony.
