DKE Announces 2026 H-Share Incentive Scheme, Calls Extraordinary General Meeting for Approval

Bulletin Express10-20 18:40

DKE Holding Company Limited (DKE) has unveiled plans to introduce a 2026 H-Share Incentive Scheme aimed at strengthening employee retention and aligning management interests with shareholders. The proposal, approved by the Board on 20 October 2026, will be submitted to shareholders for endorsement at an upcoming extraordinary general meeting (EGM).

The scheme qualifies as a share incentive arrangement involving the issuance of new H shares and therefore falls under Chapter 17 of the Hong Kong Stock Exchange Listing Rules. Compliance measures include adherence to Rule 10.08, which restricts any issuance of new H shares under the scheme during the six-month period following 9 July 2026—the date DKE’s shares commenced trading in Hong Kong.

Key objectives of the proposed scheme are: • Provide a flexible mechanism to attract, reward and retain qualified personnel. • Grant eligible participants future equity stakes to align their long-term interests with those of DKE and its shareholders. • Incentivise sustained improvement in corporate performance and shareholder value.

Subject to shareholder approval, the Board—and/or a designated scheme administrator—will be authorised to manage all matters related to the implementation of the incentive plan. A detailed circular, including full scheme terms and the EGM notice, will be dispatched to shareholders in due course.

The Board currently consists of Executive Directors Zhou Aijun (Chairman and General Manager) and Wang Wenliang; Non-Executive Directors Wang Xiao, Wang Yang, Liu Yu, and Di Chen; and Independent Non-Executive Directors Prof. Zeng Aimin, Prof. Zhou Guofu, and Ruan Tim.
