Tencent Music Files Preliminary Prospectus for U.S. Dollar Senior Notes Offering

Tencent Music Entertainment Group issued an overseas regulatory announcement stating that it lodged a preliminary prospectus supplement with the U.S. SEC on 1 September 2026 (U.S. Eastern Time) for a proposed public offering of senior unsecured notes.

\n\nKey details of the filing include:

• Dual-tranche structure: the prospectus covers two series of U.S. dollar notes—one maturing in 20 __, the other in 20 __.

• Interest and maturity: interest will accrue from the issue date in 2026 and be paid semi-annually beginning in 2027; the first tranche will mature in 20 __, the second in 20 __.

• Redemption features: Tencent Music may redeem the notes at its option prior to specified call dates at the greater of par or a make-whole amount, and at par after those dates; a 101% repurchase offer is required upon a triggering event.

• Senior unsecured status: the notes rank pari passu with Tencent Music’s existing unsubordinated, unsecured obligations and are structurally subordinated to liabilities of subsidiaries and consolidated affiliated entities.

• Listing plan: an application will be made to list the notes on the Hong Kong Stock Exchange for trading by professional investors only.

• Use of proceeds: designated as general corporate purposes.

\n\nThe filing was made under Rule 13.10B of the Hong Kong Listing Rules, and the announcement was authorised by Executive Chairman Cussion Kar Shun Pang on 2 September 2026.
