JD Logistics (02618) has issued a circular convening its 2026 annual general meeting (AGM) for 11:00 a.m. on 29 June 2026 at Yizhuang, Beijing. Shareholders will be asked to approve fresh share issuance and repurchase mandates, re-elect five directors and re-appoint Deloitte Touche Tohmatsu as auditor.
Key proposals scheduled for voting are as follows:
1. General mandates • Issue Mandate: authority to allot and deal with shares— including any sale of treasury shares—up to 20% of the company’s issued share capital, equivalent to 1.33 billion shares based on 6.66 billion shares outstanding as of 26 May 2026. • Repurchase Mandate: authority to buy back up to 10% of issued shares, or 0.67 billion shares. • Extension Mandate: the issuance limit can be increased by the number of shares repurchased. The mandates will remain in force until the earlier of the next AGM or their revocation by shareholders.
2. Board composition • Executive director: Zhenhui Wang (CEO) seeks re-election. • Independent non-executive directors up for re-election: Nora Gu Yi Wu, Laura J. Peterson, Lin Ye and Yi Hoi Tang. The Nomination Committee confirms the independence of all four INED candidates.
3. Auditor appointment • Deloitte Touche Tohmatsu is proposed for re-appointment. • Estimated audit fee for FY2026: RMB17.6 million to RMB18.3 million, excluding out-of-pocket expenses.
4. Recent share repurchases • Between 26 November 2025 and 26 May 2026 the company repurchased 9.27 million shares on the open market, with prices ranging from HK$13.15 to HK$14.29.
5. Administrative details • Share register closes from 24 June to 29 June 2026, inclusive. • Proxy forms must be lodged by 11:00 a.m. on 27 June 2026 (Hong Kong time).
All AGM resolutions will be decided by poll. Holders of treasury shares, if any, will abstain from voting. No other shareholder is required to abstain.
