UISEE Tech Plans Address Relocation and Articles of Association Update Ahead of Hong Kong Listing

UISEE Technologies (Beijing) Co., Ltd. (“UISEE Tech”) has announced two corporate governance initiatives that will be submitted to shareholders at an upcoming extraordinary general meeting (EGM).

Key points

1. Registered address to move to Xiong’an • The company will change its registered address from Room 101, 1/F, Yuan Building 1, No. 85 Hongan Road, Fangshan District, Beijing, to Room 502, 5/F, South Building B3, Fenghua Valley, Huawangcheng, Xiong’an Area, China (Hebei) Pilot Free Trade Zone (postcode 070001). • The relocation will take effect after completion of registration with the relevant PRC authorities.

2. Proposed amendments to Articles of Association To align corporate records with the forthcoming Hong Kong listing and the new address, the Board proposes the following revisions, subject to shareholder approval: • Listing details (Article 4): Reflecting the China Securities Regulatory Commission filing on 22 December 2025, Hong Kong Stock Exchange approval dated 19 May 2026, an initial public offering of 14.46 million H shares, and a Main Board listing date of 20 May 2026. • Domicile address (Article 6): Replacement of the Beijing address with the new Xiong’an Free Trade Zone location and updated postcode. • Registered capital (Article 7): Confirmation of registered capital at RMB 16.25 million. • Issued share capital (Article 23): Update to 162.49 million ordinary shares outstanding.

3. Next steps • A circular detailing the proposed amendments and the EGM notice will be posted on the websites of the Hong Kong Stock Exchange and UISEE Tech and dispatched to shareholders in due course. • The amendments will take effect upon shareholder approval at the forthcoming EGM.

Board composition As of 20 July 2026, the Board comprises three executive directors (Wu Gansha, Zhou Xin, Chiang Tsung Che), three non-executive directors (Wu Jun, Zhou Jun, Gao Xiaohu) and three independent non-executive directors (Chow Ming Sang, Bai Rui, Du Zide).
