CMBC Capital Buys Back 1.00 Million Shares, First Use of June Repurchase Mandate

CMBC Capital Holdings Limited (CMBC Capital) disclosed that it repurchased 1.00 million ordinary shares on 27 July 2026 via on-market transactions on the Hong Kong Stock Exchange.

• Transaction details: The shares were bought at prices ranging between HKD 1.05 and HKD 1.23, for a volume-weighted average cost of approximately HKD 1.16 per share. Total cash outflow amounted to HKD 1.17 million.

• Scale of buy-back: The repurchase represents 0.09 % of CMBC Capital’s 1.10 billion issued shares (excluding treasury shares) outstanding as at 30 June 2026. Relative to the 109.70 million-share limit approved under the general mandate on 26 June 2026, the transaction utilises about 0.91 % of the authorised quota.

• Share capital position: The company’s issued share count remains at 1.10 billion, as the repurchased shares are pending formal cancellation.

• Moratorium: Under Main Board Rule 10.06, CMBC Capital is restricted from issuing new shares or disposing of any treasury shares until 26 August 2026 (30 days after the repurchase date).

The company affirmed that the repurchase complied with the Hong Kong Listing Rules and that there have been no material changes to the explanatory statement filed on 3 June 2026.
