IntelliMark AI International Limited reported no changes to its issued share capital for May 2026, maintaining 819.54 million listed ordinary shares and confirming full compliance with Hong Kong’s 25% minimum public-float requirement.

Authorised Capital • Ordinary shares: 7.00 billion at HKD 0.10 par, representing HKD 700.00 million. • Convertible preference shares: 2.00 billion at HKD 0.15 par, representing HKD 300.00 million. • Series B convertible preference shares: 312.50 million at HKD 0.16 par, representing HKD 50.00 million. Total authorised capital stands unchanged at HKD 1.05 billion.

Issued Shares (unchanged during May) • Listed ordinary shares: 819.54 million. • Unlisted convertible preference shares: 1.08 billion. • Unlisted Series B preference shares: 135.16 million. No treasury shares are held.

Outstanding Equity Instruments • Bonus warrants (stock code 08661): nominal value HKD 98.34 million, exercisable at HKD 0.60 until 30 March 2027, allowing up to 163.91 million new ordinary shares. • Convertible preference shares: HKD 162.50 million outstanding, convertible at HKD 1.121 into up to 144.96 million shares. • Series B convertible preference shares: HKD 21.63 million outstanding, convertible at HKD 0.2803 into up to 77.15 million shares. • RSU Scheme (adopted 18 December 2024): capacity for 80.15 million new shares. In aggregate, these instruments could add up to 466.17 million ordinary shares if fully exercised or converted.

Share-Based Compensation The 2017 Share Option Scheme remains terminated with no outstanding options. The RSU Scheme is now the sole equity incentive plan, with the full 80.15 million-share pool still available.

Liquidity and Capital Outlook With no share issuances, repurchases or treasury-share movements in May, IntelliMark AI’s share count and authorised capital structure remain stable. The existing warrants, convertibles and RSU pool together represent potential dilution of approximately 36.9% relative to current issued ordinary shares, should all instruments be exercised or converted.
