Yidu Tech Inc. has issued a circular convening its 2026 annual general meeting (AGM) for 11:00 a.m. on 28 August 2026 in Beijing. Key proposals include a cash dividend, refreshed capital mandates, board changes and auditor re-appointment.
Dividend Proposal • The board recommends a final dividend of HKD0.04 per share for FY 2025/26, translating to an estimated HKD40.80 million based on 1,019.96 million issued shares as of 16 July 2026. • Shares will trade ex-dividend from 3 September to 7 September 2026, with payment slated for 16 September 2026 to shareholders on record at 7 September 2026.
Capital Mandates Up for Renewal • Issue Mandate: Directors seek authority to issue, sell and/or transfer treasury shares up to 20% of issued share capital (≈203.99 million shares) until the next AGM. • Repurchase Mandate: Authority to buy back up to 10% of issued shares (≈101.99 million shares). The issue mandate may be extended by the amount of any shares repurchased. • Treasury Stock: The company currently holds 52.91 million treasury shares.
Recent Buy-Back Activity • Between 26 January and 20 March 2026, the company repurchased 42.69 million shares on the Hong Kong Stock Exchange, with prices ranging HKD5.39–7.05.
Board Changes • Independent non-executive directors (INEDs) Dr. Ma Wei-Ying and Ms. Pan Rongrong stand for re-election. • Non-executive director Mr. Zeng Ming will retire and not stand for re-election.
Auditor • The board proposes re-appointing PricewaterhouseCoopers; FY 2026/27 audit fees are estimated at RMB4.95 million.

At the time of the circular, Yidu Tech had 1,019.96 million shares outstanding (excluding treasury shares). Approval of all resolutions will be decided by poll at the AGM.
