Ab&B Bio-Tech Nominates Ms. Lui Mei Ka as Independent Director, Plans Audit Committee Adjustment and Charter Revision

Ab&B Bio-Tech CO., LTD. JS has proposed three board-level changes aimed at strengthening governance and internal controls.

The Board has nominated Ms. Lui Mei Ka, aged 38, to serve as an independent non-executive director for the remainder of the second Board session. Her appointment is contingent on shareholder approval and the adoption of related amendments to the Articles of Association. If confirmed, Ms. Lui will also join the Board’s Audit Committee.

Ms. Lui brings roughly 20 years of financial management and corporate-finance experience. Her background includes senior finance roles at GR Life Style Company Limited and LT Commercial Real Estate Limited, seven years in audit at Deloitte Touche Tohmatsu, and multiple current independent directorships on Hong Kong-listed companies. She is a member of the Hong Kong Institute of Certified Public Accountants and will receive an annual director’s allowance of RMB 0.12 million under the existing remuneration plan.

The Board also proposes amending the Articles of Association to require “at least” three independent non-executive directors, replacing the current fixed number of three, in order to enhance internal oversight.

A general meeting will be convened to vote on Ms. Lui’s nomination and the charter amendments via ordinary and special resolutions respectively. Relevant meeting documents and circulars will be dispatched in due course.
