Crypto Flow Technology Limited (Crypto Flow) disclosed that its indirect wholly-owned subsidiary, Quanta Mind Investment Limited, signed a Purchase Agreement on 4 September 2026 to acquire AI service equipment for RMB34.40 million (approximately HK$40.00 million).
The equipment will be supplied by Shenzhen Taoxin Technology Co., Ltd., with Century Changhui International Trade Co., Limited acting as the supplier receiving agent. Both counterparties and their respective ultimate beneficial owners are classified as Independent Third Parties.
Payment terms are split equally: • RMB17.20 million (HK$20.00 million) is payable as a deposit within three business days of signing. • The remaining RMB17.20 million is due within three business days after Crypto Flow’s satisfactory inspection and acceptance of the equipment.
Delivery is required by 30 November 2026, with transfer to the purchaser to occur within five days of full payment.
Crypto Flow plans to deploy the equipment in its forthcoming AI data centre business, leveraging its long-standing expertise in big data centre operations. Part of the consideration will be funded with net proceeds from the company’s recent placing of 66.67 million shares announced between July and September 2026.
Under Chapter 19 of the GEM Listing Rules, the transaction constitutes a discloseable transaction: at least one applicable percentage ratio exceeds 5% but all are below 25%. As such, the deal requires notification and announcement but does not trigger shareholder approval.
Crypto Flow’s existing operations span big data centre services, an on-chain data analysis platform, digital asset exchange and over-the-counter services in Australia, and money-lending activities in Hong Kong.
