Kaisa Group Raises Share Capital by 10.91% via Mandatory Convertible Bond Conversions

Kaisa Group Holdings Ltd. disclosed a material change in its share capital following the conversion of multiple tranches of mandatory convertible bonds on 25 September 2026.

The company issued a total of 1.25 billion new ordinary shares through two conversion events: • 218.90 million shares were issued from Tranche B and C bonds at HKD 4.75 per share, representing 1.92 % of the pre-event share base. • 1.03 billion shares were issued from Tranche D, E, F, G and H bonds at HKD 4.05 per share, adding 8.99 %.

These transactions expanded Kaisa Group’s outstanding share count from 11.43 billion to 12.67 billion, a cumulative increase of 10.91 %. No treasury‐share movements, repurchases or cancellations were reported in the period.

The board confirmed that all conversions were duly authorized and executed in compliance with the Hong Kong Stock Exchange’s Main Board Rules and relevant regulatory requirements.
