Nayuki Holdings Limited disclosed a repurchase of 855,000 ordinary shares on 20 July 2026 via on-market transactions on the Hong Kong Stock Exchange.

• Transaction details – Repurchased shares: 0.86 million – Price range: HK$0.71–HK$0.73 per share – Volume-weighted average price: HK$0.72 per share – Aggregate consideration: HK$0.62 million

• Capital structure impact – Issued shares outstanding (excluding treasury shares) prior to the trade: 1.69 billion – Post-repurchase issued shares outstanding: 1.69 billion, reflecting a 0.05% reduction – Treasury share balance increased to 20.06 million, while total issued shares remained unchanged at 1.71 billion due to the shares being held in treasury.

• Repurchase mandate utilisation – Shareholders approved a mandate on 24 June 2026 to buy back up to 169.84 million shares. – Cumulative repurchases under this mandate now stand at 10.91 million shares, representing 0.64% of the company’s share capital on the mandate date. – A 30-day moratorium on new share issues or treasury share disposals runs until 19 August 2026.

All transactions were executed in compliance with Hong Kong listing rules, and the board confirmed receipt of all funds and regulatory adherence.
