APT Satellite Holdings Limited announced a board reorganization effective 25 March 2026. Key changes are as follows:
• Executive Director transition: Yan Zhao has resigned as Executive Director as well as from the Remuneration and Nomination Committees, citing work-related adjustments. He continues to serve as Vice President.
• New appointment: Lu Zheng, age 47, has been appointed Executive Director, Vice President, and member of both the Remuneration and Nomination Committees. Lu will also join the boards of controlling shareholder APT Satellite International Company Limited (51.90% stake) and four operating subsidiaries.
• Professional background: Lu holds a Master’s degree in Management from the University of Science and Technology Beijing. Since 2007 he has worked at China Satellite Communications Co., Ltd. (Shanghai Stock Exchange: 601698), becoming Director of Corporate Culture in 2017 and employee director in October 2025.
• Service terms and remuneration: Lu’s initial three-year service contract provides an annual fixed salary of HK$0.58 million, performance-related pay with a base amount of HK$0.87 million, and an annual director’s fee of HK$0.10 million. Either party may terminate the contract with six months’ notice. Under bye-law 86(2), Lu will stand for re-election at the first annual general meeting following his appointment.
• Board composition post-change: Executive Directors – Wang Hongbin (President), Lu Zheng (Vice President) Non-Executive Directors – Sun Jing (Chairman), Yin Yen-liang, Fu Zhiheng, Lim Kian Soon, Li Xiaomei, Leong Kah Fai Keith, Tseng Ta-mon (Alternate to Yin Yen-liang) Independent Non-Executive Directors – Lam Sek Kong, Cui Liguo, Meng Xingguo, Yim Ka Man
The company states no other matters require shareholder attention under Rule 13.51(2) of the Listing Rules.
