Xtep adds 9.02 million shares through scrip dividend; issued capital climbs to 2.82 billion shares

For the month ended 30 June 2026, Xtep International Holdings Limited reported a net issuance of 9.02 million ordinary shares, taking its outstanding share count to 2.82 billion. The new shares were created under a scrip dividend arrangement priced at HKD 4.20 each, implying an aggregate consideration of roughly HKD 37.90 million.

Authorised share capital remained unchanged at 100 billion shares with a par value of HKD 0.01, equivalent to HKD 1.00 billion.

Public-float compliance: The company confirmed that, as at 30 June 2026, its public float continued to meet the Main Board’s minimum 25 % requirement.

Convertible bonds in issue: • HKD 544.53 million of 2021 convertible bonds remain outstanding, exchangeable into up to 69.92 million shares at HKD 7.7882 per share. • HKD 526.83 million of 2024 convertible bonds are convertible into up to 102.63 million shares at HKD 5.1332 per share. • HKD 500.00 million of 2026 convertible bonds are convertible into up to 80.00 million shares at HKD 6.25 per share.

Collectively, these instruments could expand the share base by a further 252.55 million shares if fully converted.

No share repurchases, treasury share movements, options, warrants or other equity-linked instruments were reported during the period. All new share issues were duly authorised and executed in compliance with Hong Kong Listing Rules and other regulatory requirements.
