Keep Inc. Adds 35,600 Shares to Treasury, Bringing Total Buy-backs Under 2026 Mandate to 6.92 Million

Keep Inc. (HKEX: 03650) disclosed a repurchase of 35,600 ordinary shares on 24 September 2026, executed on the Hong Kong Stock Exchange at prices between HKD 1.315 and HKD 1.36 per share. The transaction cost HKD 47,102.36 and represents 0.0072% of the company’s issued share capital (excluding treasury shares) as at 23 September 2026.

Following the buy-back, Keep’s outstanding share count (excluding treasury shares) decreased to 495.50 million, while treasury shares rose to 14.78 million. The total number of issued shares remained unchanged at 510.28 million.

Since receiving board approval for a 50.24 million-share repurchase mandate on 4 June 2026, Keep has acquired 6.92 million shares on-market, equivalent to 1.38% of the shares outstanding at the time the mandate was granted. Of these, 3.32 million shares repurchased between January and April 2026 are awaiting cancellation, while the latest 35,600 shares will be retained as treasury stock.

In line with Hong Kong listing rules, Keep is subject to a moratorium on issuing new shares or disposing of treasury shares until 24 October 2026, 30 days after the most recent repurchase. All repurchases have been authorised by the board and executed in compliance with Hong Kong Stock Exchange regulations, with full settlement of consideration confirmed.
