H World Group Schedules 2026 AGM, Proposes Auditor Ratification and Board Re-elections

H World Group Limited (formerly Huazhu Group Limited) has released the proxy form for its 2026 annual general meeting (AGM), confirming key logistical details and four resolutions to be put before shareholders.

The meeting is set for 10:00 a.m. (local time) on 26 June 2026 at No. 1299 Fenghua Road, Jiading District, Shanghai. Shareholders of record as of the close of business on 18 May 2026 are entitled to vote; completed proxy forms must reach Computershare Hong Kong Investor Services by 10:00 a.m. on 24 June 2026.

Key items on the agenda include:

1. Ratification of Deloitte Touche Tohmatsu Certified Public Accountants LLP as the Company’s external auditor for 2026, with remuneration to be set by the board.

2. Re-election of Justin Martin Leverenz—appointed to the board on 15 August 2025—as a director.

3. Re-election of Yi Zhang (alias Bonnie Yi Zhang)—also appointed on 15 August 2025—as an independent director and chairwoman of the audit committee.

4. Authorization for any director, officer or Conyers Trust Company (Cayman) Limited to carry out necessary actions to implement the above resolutions, including registrations and filings on behalf of the Company.

Quorum for the AGM is defined as shareholders present in person, by proxy or corporate representative holding at least one-third of the Company’s issued voting shares. Each ordinary share carries one vote.

The current board comprises Executive Chairman Ji Qi, Executive Director Zheng Jie, Director Justin Martin Leverenz, and Independent Directors John Wu Jiong, Hee Theng Fong, Cao Lei and Yi Zhang.
