YSB Inc. issues 0.07% new shares for acquisition payout and option exercise; 1.80 million repurchased shares remain pending cancellation

YSB Inc. disclosed a change in share capital on 23 March 2026 through a Next Day Disclosure Return filed with the Hong Kong Stock Exchange.

On 10 March 2026 the company allotted 5,000 ordinary shares at HK$1.16714 each following the exercise of employee share options granted under the 2019 Share Incentive Plan. The increase equates to 0.00073 % of the 684.80 million shares outstanding as at 28 February 2026.

On 23 March 2026 YSB Inc. further issued 490,000 new shares at HK$12.00 each as “Consideration Shares,” settling the Part I contingent consideration for an earlier acquisition after 2025 performance targets were met. This tranche represents 0.07155 % of pre-issue share capital.

After the two issuances, total issued shares rose by 495,000 to 685.30 million, a net increase of 0.07 %.

Separately, the company repurchased 1.80 million shares between 21 August and 20 November 2025 at a volume-weighted average price of HK$8.55 per share for an aggregate HK$15.39 million. These shares have not yet been cancelled; once removed from the register, the outstanding share count would decline by approximately 0.26 % to 683.50 million.

The disclosure confirms that all share issues and repurchases were duly authorised and executed in compliance with Hong Kong listing rules and relevant regulations.
